【法律一分鐘】｢俄羅斯轉盤」與「德州槍戰」

合資公司可透過股份或出資額之持有、策略聯盟或合夥等契約安排或混和以上兩種方式，例如以閉鎖性公司搭配股東協議契約等方式安排組織架構。當股東利益不一致時則可能使表決機制失靈，又因股份缺乏流通性而無法透過轉讓加以解決，因而產生合資公司之僵局（dead-lock）。

在各種僵局解決之協議或條款中，較特殊者屬｢俄羅斯轉盤（Russian roulette）」及「德州槍戰（Texas shoot-out）」，此二者均為強制買賣協議下之條款。前者即公司一方股東向他方提出出售股份之要約，被要約人得選擇接受要約，使要約人退出公司；反之若不願接受要約，則被要約人須以原要約之內容出售其自身持股予要約人。而所謂「德州槍戰」則係指一方股東提出購買他方股份之要約，被要約人得選擇接受要約出售其持股，或以更高價格收購要約人之持股，亦得約定以「密封競標」之方式進行由雙方各自出價，而出價較低者應將其持股出售予他方。
