เพราะปัจจุบัน แม้ว่า SCB จะมีธุรกิจอื่น ๆ ที่นอกเหนือจากสถาบันการเงิน เช่น SCB10X ที่ดำเนินธุรกิจที่เกี่ยวข้องกับเทคโนโลยี

แต่ด้วยความที่ยังอยู่ภายใต้โครงสร้างของแบงก์ จึงทำให้มีข้อจำกัดและดำเนินกิจการได้ไม่เต็มที่

โดยโครงสร้างใหม่ภายใต้บริษัทแม่อย่าง SCBX จะทำให้บริษัทสามารถแบ่งรูปแบบของธุรกิจได้เป็น 2 ส่วนหลัก ๆ ก็คือ

1. ธุรกิจ Cash Cow ซึ่งก็คือ ธุรกิจธนาคาร ธุรกิจประกัน
2. ธุรกิจ New Growth

จากการแบ่งกลุ่มธุรกิจ จะเห็นได้ว่า SCB พยายามแยกธุรกิจแบงก์กับธุรกิจอื่นออกจากกัน
ซึ่งก็จะทำให้ธุรกิจใหม่ ไม่ต้องอยู่ภายใต้กรอบและกฎเกณฑ์ของธุรกิจธนาคารเดิม

และจากการแถลงเกี่ยวกับธุรกิจ New Growth
สิ่งที่เห็น ก็คือ SCB จะย่อยแต่ละธุรกิจออกเป็นบริษัทย่อย
ซึ่งแต่ละบริษัท ก็จะมีทีมและมีผู้บริหาร ซึ่งแยกออกจากกันโดยสิ้นเชิง เช่น

- Card X บริษัทที่โอนกิจการออกมาจาก SCB (Spin-Off) ทำธุรกิจสินเชื่อส่วนบุคคลและบัตรเครดิต โดยน่าจะจดทะเบียนในตลาดหลักทรัพย์ได้ในเร็ว ๆ นี้

- Alpha X บริษัทที่ร่วมมือกับ Millennium Group ปล่อยสินเชื่อให้กับเจ้าของรถหรูและยานพาหนะทางน้ำ เช่น เรือยอช์ต

- Tech X ร่วมมือกับบริษัทเทคโนโลยีระดับโลก ทำธุรกิจเทคโนโลยี

- AISCB ร่วมมือกับ AIS ทำสินเชื่อ Digital

โดยบริษัท ก็ได้ตั้งเป้าหมายให้แต่ละบริษัทย่อย สามารถเติบโตและ IPO เข้าตลาดหลักทรัพย์ได้ด้วยตัวเอง

ซึ่งการเติบโตที่ว่านั้น ก็จะรวมไปถึงการรุกธุรกิจไปยังต่างประเทศในระดับภูมิภาค เช่น อินโดนีเซียและเวียดนาม เพื่อสร้างการเติบโตให้กับฐานลูกค้า ที่ปัจจุบันมีอยู่ 14 ล้านราย ให้เป็น 200 ล้านราย

โดยบริษัททั้งหมดในเครือ มีมูลค่ารวมกันราว “1 ล้านล้านบาท” ในอนาคต

ในขณะเดียวกัน SCB ก็ได้ประกาศจัดตั้งกองทุน Venture Capital ขนาด 600 - 800 ล้านดอลลาร์สหรัฐ (ประมาณ 20,100 - 26,800 ล้านบาท) ร่วมกับเครือซีพี โดยมุ่งเน้นการลงทุนในธุรกิจเทคโนโลยีด้านบล็อกเชน, สินทรัพย์ดิจิทัล, Decentralized Finance, FinTech และเทคโนโลยีอื่น ๆ

โดยกองทุน Venture Capital นี้ เครือเจริญโภคภัณฑ์และกลุ่มธนาคารไทยพาณิชย์ จะลงทุนเป็นจำนวนเงิน ฝ่ายละ 100 ล้านดอลลาร์สหรัฐ ส่วนที่เหลือจะระดมทุนจากนักลงทุนที่ได้รับการรับรอง (Accredited Investor)

สำหรับทีม SCB10X เดิม บางส่วนก็จะเข้ามาร่วมทำงานใน Venture Capital ใหม่นี้

นอกจากนั้น SCBX ที่เป็นยานแม่ที่ทำตัวเป็นบริษัทโฮลดิงก็ยังถือหุ้นในอีกหลายธุรกิจ เช่น

- Auto X ธุรกิจปล่อยสินเชื่อ ลีสซิ่ง เน้นกลุ่มรากหญ้า

- SCB Securities ทำธุรกิจหลักทรัพย์ ซึ่ง SCB Securities จะถือหุ้นใน Token X ที่ดูแลเกี่ยวกับสินทรัพย์ดิจิทัล

- Purple Ventures ที่ทำธุรกิจส่งอาหารชื่อ Robinhood ที่ทุกคนน่าจะรู้จักกันดี

- SCB ABACUS ที่ทำธุรกิจปล่อยสินเชื่อออนไลน์ “เงินทันเด้อ” โดยใช้เทคโนโลยี AI ที่เพิ่งคว้าเงินระดมทุน 400 ล้านบาท

โดยโครงสร้างใหม่จะทำให้แยกธุรกิจธนาคาร SCB เดิม ออกมาจากธุรกิจอื่น ๆ โดยมี SCBX เป็นบริษัทโฮลดิงเสมือนเป็นผู้ดูแลจัดการการลงทุนธุรกิจในเครืออีกทีหนึ่ง

สำหรับขั้นตอนต่อไปก็คือ SCB จะให้ผู้ถือหุ้น SCB เดิม ทำการแลกหุ้นกับ SCBX ต่อมาก็จะเพิกถอน SCB ออกจากตลาดหลักทรัพย์

และหลังจากนั้นจะให้ SCB เดิมจ่ายเงินปันผลมูลค่า 70,000 ล้านบาทให้กับ SCBX
เมื่อ SCBX ได้รับเงินปันผลมา จะนำเงินประมาณ 70% หรือคิดเป็น 49,000 ล้านบาท ไปใช้ในการจัดตั้งธุรกิจใหม่ ตามที่ได้กล่าวมา

ส่วนอีก 30% หรือคิดเป็น 21,000 ล้านบาท จะถูกนำออกมาจ่ายเป็นปันผลพิเศษให้กับผู้ถือหุ้น SCBX ซึ่งคาดว่าจะจ่ายได้ในช่วงปีหน้า ซึ่งถ้าเทียบ 21,000 ล้านบาท กับ Market Cap ของ SCB ตอนนี้ที่ 365,000 ล้านบาท ก็จะได้ประมาณ 5.7%

จากแผนการทั้งหมดนี้นับเป็น Big Move ที่ SCB กล้าตัดสินใจ
และดูเหมือน SCB ต้องปรับเปลี่ยนบทบาทของตัวเองไปอย่างสิ้นเชิง

แต่ถ้าดูจากอดีตเสมอมา
SCB ก็เป็นคนที่กล้าเป็นผู้นำ ที่ทำอะไรที่เกินคาด แบบนี้มาตลอด

- ตั้งแต่ลดค่าธรรมเนียมการโอนข้ามธนาคาร เป็น 0 บาท
จนธนาคารอื่นต้องปรับให้เป็น 0 บาทตามกันหมด ซึ่งแน่นอนว่าธนาคารสูญเสียรายได้มหาศาล

แต่รู้ไหมว่า การทำแบบนี้ เท่ากับปิดประตู คู่แข่งเกิดใหม่ด้าน Payment ที่จะเข้ามาแข่งได้

ซึ่งถ้าดูจากเมืองนอกที่ผู้คนหันไปใช้แอป Payment ใหม่เกิดเป็นยูนิคอร์นมากมายในต่างประเทศ แต่สำหรับประเทศไทย คนไทยยังใช้แอปธนาคารในการจ่ายเงิน ซึ่ง Move ตอนนั้นของ SCB น่าจะเป็นสิ่งที่ได้ผลคุ้มค่าสิ่งที่เสียไป

- หรือการกล้าทำแอป Robinhood ที่ไม่คิดค่า GP ที่ช่วยเหลือร้านอาหารเล็ก ๆ ให้มีทางเลือก ถึงแม้มันจะขาดทุน แต่ในวันนี้ Robinhood ก็ยืนแข่งกับผู้เล่นต่างประเทศได้อย่างสบาย และก็น่าจะมีมูลค่าซ่อนอยู่ในแพลตฟอร์มนี้อยู่ไม่น้อย

ในวันที่ธุรกิจธนาคารเดิม ค่อย ๆ ถูกกัดกินส่วนแบ่งตลาด จากธุรกิจข้ามอุตสาหกรรม
มันก็จะมีทางเลือกอยู่ 2 ทาง นั่นก็คือ
1. อยู่เฉย ๆ รอให้ทุกคนเข้ามารุม
2. ลุกขึ้น แล้วปรับเปลี่ยนแนวทางดำเนินธุรกิจ ให้เข้ากับยุคสมัย

และสิ่งที่เกิดขึ้นก็คือ SCB เลือกแบบที่ 2
